1 Acceptance of terms

By accessing or using the services of Backup Data Cloud, operado por Apolo Group S.A.S (Colombia, NIT 901.107.387-4) y Apolo System LLC (Estados Unidos), usted acepta quedar vinculado por estos Terms of Use.

If you do not agree with any part of these terms, you should not access or use our services. Continued use of the service constitutes acceptance of any modifications to these terms.

2 Service description

Backup Data Cloud es una plataforma de respaldo y recovery de datos en la nube que ofrece:

• Backup automatic de archivos, servidores, bases de datos y sistemas operativos
• Secure encrypted storage en centros de datos Equinix, Silicon Valley (SV4)
• Data recovery at any time desde el panel de control
• Ransomware protection with immutable copies
• Real-time monitoring and alerts
• Technical support in Spanish and English 24/7 by human agents

Services are provided under the SaaS model (Software como Servicio) con planes mensuales without mandatory commitment.

3 Registration and user account

To use our services, you must create an account providing truthful, complete and up-to-date information. You are responsible for:

• Maintain the confidentiality of your access credentials
• All activities carried out under your account
• Immediately notify any unauthorized use de su cuenta

Backup Data Cloud will not be liable for losses arising from unauthorized use of your account when you have not taken the necessary security measures.

4 Acceptable use

Usted se compromete a utilizar el servicio only para lawful purposes. The following is expressly prohibited:

• Storing, transmitting or distributing illegal, defamatory, obscene content or content that infringes third-party rights
• Attempting to gain unauthorized access to systems, networks or data of other users
• Using the service to distribute malware, ransomware, viruses or other malicious software
• Deliberately overloading the service infrastructure
• Reselling, sublicensing or transferring access to the service without express authorization
• Reverse engineering or attempting to extract the source code of the software

5 Data ownership and responsibility

You retain at all times full ownership of all data you store in Backup Data Cloud. We claim no ownership rights over your information.

Usted es el only responsable de:

• The legality of the data you store on our platform
• Obtaining the necessary permissions to back up third-party data
• Complying with applicable data protection regulations
• Periodically verifying that your backups are being performed correctly

Backup Data Cloud acts as data processor, processing your data only according to your instructions and for the provision of the contracted service.

6 Payments and billing

Backup Data Cloud services are billed monthly or annually depending on the selected plan.

• Billing: Charges are made at the beginning of each billing period
• Prices: Published prices do not include VAT. Taxes apply according to the legislation in force in each country
• Electronic billing: We issue electronic invoices in Colombian pesos (COP) or US dollars (USD) as applicable
• Free trial: Trial periods do not require a credit card. Upon completion, the service is automatically suspended without charges
• Cancellation: You can cancel at any time without penalties. Access continues until the end of the paid period

We do not issue refunds for partial periods of use, except in cases of service failure attributable to Backup Data Cloud.

7 Availability and SLA

We commit to maintaining a service availability of 99.99% monthly para los planes Business y Enterprise.

• Scheduled maintenance: Will be notified at least 48 hours in advance
• Support response time: Critical: 1 hora | Alto: 4 horas | Normal: 24 horas
• Compensation: For SLA non-compliance, proportional credits will be applied to the plan

8 Confidentiality and security

Backup Data Cloud implements enterprise-level security measures to protect your data:

• AES-256 encryption at rest and TLS 1.3 in transit
• Zero-knowledge architecture — not even our employees can access your data
• Immutable copies protected against ransomware
• Complete access audit with immutable records
• Data centers with restricted physical access and 24/7 surveillance

We commit to not disclosing your confidential information to third parties, except by express legal requirement or with your prior consent.

9 Intellectual property

All intellectual property rights over the software, platform, brands, logos and content of Backup Data Cloud are the exclusive property of Apolo Group S.A.S and Apolo System LLC.

You are granted a limited, non-exclusive and non-transferable license to use the service under these terms. This license does not authorize you to:

• Copy, modify or create derivative works of the software
• Use our brands or logos without written authorization
• Sublicense or transfer your usage rights to third parties

10 Limitation of liability

To the maximum extent permitted by applicable law, Backup Data Cloud will not be liable for:

• Indirect, incidental or consequential losses arising from the use of the service
• Data loss caused by client actions or omissions
• Service interruptions caused by force majeure, natural disasters or mass attacks
• Damages resulting from improper use of access credentials

The total maximum liability of Backup Data Cloud shall not exceed the amount paid by the client in the last 3 months of service.

11 Service termination

By the client: You can cancel your subscription at any time from the control panel or by contacting support. No penalties or commitment clauses apply.

By Backup Data Cloud: Nos reservamos el derecho de suspender o cancelar su cuenta si:

• Incumple estos Terms of Use
• Failure to pay invoices within the established period
• Using the service for illegal activities

Data after cancellation: Your data will remain available for 30 days after cancellation for export. After this period, it will be permanently and irrecoverably deleted.

12 Applicable law y jurisdiction

For clients in Colombia: Estos terms se rigen por las leyes de la Republic of Colombia. Cualquier disputa will be resuelta ante los tribunales competentes de Envigado, Antioquia.

For clients in United States: Estos terms se rigen por las leyes del Estado de Florida. Las disputas se will be submitted a la jurisdiction de los tribunales del Condado de Monroe, Florida.

The parties agree to attempt to resolve any dispute amicably before initiating legal action.

13 Changes to terms

Nos reservamos el derecho de modificar estos Terms of Use en cualquier momento. Los cambios significativos will ben notificados con al menos 30 days de advance notice por correo electronic o mediante aviso en el panel de control.

If you do not agree with the new terms, you may cancel your subscription before the effective date without any penalty.
